A History
Westaff has always been on the cutting edge of change - the leading player

Founded in 1948 in San Francisco, Westaff pioneered the temporary staffing
industry. The company introduced the temporary staffing concept to the West
Coast and provided job opportunities to many who up until that time had
remained unemployed. In the spirit of innovation and inclusiveness, Westaff
focused on creating ways for key groups, such as women, to enter the
workforce.
Westaff continued to exert itself in the area of matching employers with
quality workers when it introduced its proprietary Talent Trak® skills
assessment system. With Talent Trak®, Westaff provides clients with

Fee Structure
Becoming a Westaff franchisee can be a rewarding, life-changing experience.
As with any new business venture, you need to consider carefully whether
you have what it takes.
The initial Westaff franchise fee is $25,000, plus any start-up costs to open
your office. We recommend that you begin your operation with six to nine
months of working capital and living expenses. While operating and living
expenses vary, the estimated initial start up requirements range between
$75,000 - $125,000.
The initial franchise fee includes the Westaff name/trademarks, an exclusive
territory, Westaff's front-end office operating system and suite of products
and corporate training and support.

Q: What does the Westaff franchise cost?
A: The initial Westaff franchise fee is $25,000, plus the start-up costs to open
your office. We recommend that you have six to nine months of working

the staffing industry, the franchise fee may be negotiated.
Q: What is included in the franchise fee?

Q: How much is the total investment needed to become a Westaff franchisee?
A: Investments vary. The estimated initial start up requirements range

Q: Does Westaff offer financing?
A: No. Franchisees typically secure their own financing. Most of our
franchisees have received funding through local lenders. We can provide you
a list of lenders that are staffing industry "friendly."

Q: Will I have a protected territory?
A: Yes. You'll operate in a defined, protected territory.
Q: What's the term of my agreement?
A: The initial term is 10 years with successive five-year renewal periods
normally available.
Q: Will I be able to open additional offices?
A: Yes, in appropriate circumstances. Your success - as well as ours - is tied
to your growth and profitability. Organic growth can be a great way to achieve
that. Over 59% of our current franchisees have more than one office. Many
markets offer the opportunity for multiple offices, and you also may have the
opportunity to purchase an additional territory.
Q: What training will I receive as a new franchisee?
A: Westaff has a comprehensive training program, which all new franchisees
must successfully complete through on-site, online and classroom-based
training. We provide an intensive training at our corporate office. Information
covered in the "In-branch experience" includes: company culture and mission;
corporate and field structure; support systems; Westaff departmental service
level agreements; financial reporting; expectations (e.g., what does a
successful Westaff office look like?);and Westaff systems and procedures.
Subsequent training sessions will be available to you and your staff through a
field operations specialist and via the Web.
Q: What form of continued operational guidance will be provided?
A: You'll be assigned a franchise Field Operations Specialist who is familiar
with all facets of the business. He or she will continue to help you throughout
your tenure as a franchisee. In addition, the Company offers a variety of
resources though our Corporate Support Services and our Technical Help
Desk. Our intranet site, called the Insider, is one of the best in the industry
and is full of case studies, presentations and other valuable information.

Q: Can I convert my existing staffing company to a Westaff franchise?
A: Yes, Westaff is always looking to create affiliations with existing
companies. By converting your business to a Westaff franchise, you'll be able
to significantly reduce your overhead costs (Westaff funds 100 percent of
payroll and worker's compensation costs), and you can focus on growing your
business.
Q. Do I need experience in the staffing industry to become a Westaff franchise?
A. While industry experience is helpful, it's not necessary. Westaff provides
extensive training on all facets of the staffing industry.
Q. What type of support will I receive from Westaff?
A: As a Westaff franchisee you'll have access to Westaff's Support Center for
any systems issues and the Franchise Development and Operations team,
which will assist with day-to-day questions. Additionally, you'll have access to
all corporate departments, including Payroll, Accounting, Risk Management,
Accounts Receivable, Credit Support Services, Information Services, Human
Resources, Legal and Marketing.

The Award Process
Request for More Information
The first step toward becoming a Westaff franchisee is to fill out the attached
Franchise Application and Qualifying Questionnaire. If you have any
questions or need assistance, call us at 1.800.USA.TEMP or 925.930.5300, and
ask to speak to the Franchise Development Department. Once your questionnaire
is received, Westaff will evaluate your background, experience and present resources.
Initial Interview
A member of our Franchise Development Department will contact you to
discuss your qualifications, provide additional information about Westaff, and
answer any questions you might have.
Uniform Franchise Offering Circular
Once your application is accepted, Westaff will send you the Uniform
Franchise Offering Circular (UFOC), as required by the Federal Trade
Commission and state law. This document provides detailed information
about Westaff and our franchise program, and will explain the franchise
relationship. All information furnished before receiving the UFOC is provided
merely for the general purpose of exchanging information and should not be
considered a solicitation to enter into a franchise agreement.
Visit to Westaff Corporate Headquarters
Once you complete the UFOC, a personal interview is required. You'll have
the opportunity to visit Westaff's corporate headquarters in Walnut Creek,
California, spending the day touring our campus and meeting with members
of the Westaff team.
You'll first meet with our Franchise Development Department, where you'll
have the opportunity to ask questions. From there you'll meet with Westaff's
CEO, SVP of Corporate Services, CFO, VP of Information Systems,
Controller, and department managers from Client Financial Services,
Accounts Receivable, Accounts Payable, Franchise Accounting, Payroll,
Human Resources, Legal, Risk Management, Government Business &
Contracts, Marketing and the State Unemployment Insurance Department.
Execute the Agreement
Westaff will provide you with instructions on how to execute the franchise
agreement. Once the required waiting period has expired, you'll be asked to
pay the franchise fee.
Award of Franchise
When the signed documents and franchise fee have been submitted, the final
qualification process, including background and credit checks and final
management approval, will be completed. Upon award of a franchise,
Westaff will then initiate a step-by-step process to train you in the
management and operation of your new business.
Franchise Support
The Franchise Operations Specialist assists a new franchise owner in the
start up of your office by providing recommendations on branch layout, file
management and preparation of a grand opening. The Franchise
Development Specialist will work with you during your first month by providing
sales support in your new market. Beyond this, you will receive ongoing
mentoring by the VP of Franchise Operations, a former franchise owner
herself.

Jeff Sheak, Franchise Owner
A business owner for more than 14 years and owner of four Westaff territories,
Jeff Sheak has identified the key ingredients to success; sales, financial
planning, marketing, effective talent acquisition, creativity and a tolerance for
taking risks. "For me, I am competitive by nature and do not accept failure. I
know the industry inside and out and understand the risks. I wake up every day
with specific goals in mind."
In addition to his 14 years with Westaff, Jeff spent several years working in a key
leadership position while managing Branch Operations for a staffing competitor.
This, in effect, gave him the experience and knowledge of the "ins and outs" of
managing the operations of his offices, hiring the right people, and ensuring his
staff is all working towards one common goal - delivering the right people with the
right skills for the right job.
When asked what kind of advice he could give a new prospective franchise
owner, he stated "understanding your skills and identifying your strengths and
weaknesses. And for those areas where you have gaps, fill them in with others
that have the expertise. Basically, don't leave any stone unturned."
As an independent business person Jeff has worked hard to build his team. With
minimal turnover throughout the years, it is obvious the common skill he seeks
out in when hiring his staff is that they have warm, engaging personalities. Each
and every one of them understands the importance of relationships and servicing
their clients and temporaries.
"Overall, Westaff has been a great business partner. The systems and Marketing
support you get just can't be replicated without a lot of resources.... In essence
they are there when you need them. It takes the struggle out of figuring those
things out so you can focus on your business," says Sheak.
"For me the satisfaction of being a business owner is immeasurable. The
rewards from your personal efforts are clear and evident, and the pride you feel
from growing a business cannot be matched when you are an employee of an
organization," says Sheak.
Jeannette James, Franchise Owner
Going into year eight and with three locations, Jeannette James admits "It has
been a real journey for me. I found that it is all about positioning yourself as the
experts," she says. "I made a vow to myself to fly higher than anyone else and
become the eagle of the staffing industry."
As a business owner, James admits she wouldn't be where she is today without
Westaff. "Without the support from the Westaff team, we wouldn't be where we
are today. They have definitely supported me from the start. Even on the day we
opened, they came and helped me cut the ribbon," James commented. "With
Westaff, we get the systems, marketing support and we don't have to worry
about payroll. This is huge when you are starting your business."
The key to this business, she argues, is that a person must be entrepreneurial.
They must really want to own their own business. "The benefits of becoming an
independent entrepreneur are incredible. The most important aspects of it are
that you develop deep, meaningful relationships with really great people." James
commented that she finds some of her best candidates at the local colleges. "We
hire them for internships, especially those majoring in business. They have the
energy and they're professional. That is where we get our best candidates."
James commented that key to her success is that she always knows what is
going on with her clients. Every day she is up against competitors and is
continually thinking of new ideas for her clients. "My clients know that if they call
us, they are going to get a quality person," says James. Testimony to this is that
the community voted James' Westaff franchise business as "best agency" last
year. When asked about her reward, she commented "I made a decision I was
going to be successful with Westaff. And I am.", says James enthusiastically.
Larry Caldarera, Franchise Owner
As a former retail clothing executive in New York, running his father's Westaff
franchise was the last place he thought he'd end up. Only after hearing a news
story that reported that the staffing industry was the number one growth industry
did he consider taking it over. Ten years later, Larry Caldarera, Westaff franchise
owner, now couldn't imagine being any place else.
Upon taking over the business in 1998, Caldarera understood what it meant to be
a temporary. He had spent his entire teenage and young adult life working as a
temp. Whenever his father needed someone to fill in, he'd call in Larry to the
rescue. "At that time I perceived the industry as being a necessary evil. Now, all
that has changed. While there still are many that perceive this industry as a
commodity business, I personally challenge myself to change their perception.
Like many other key industries, our approach to business is creatively solving
client issues. Finding companies that are good to us and that we can be good to
in return. It's a mutual relationship," says Caldarera.
When asked what is the most challenging aspect of his business, his response
was "understanding the financial side of the business. For me, it was critical that I
surrounded myself with good financial people. My CPA is a key to my business,"
says Caldarera.
Caldarera's family spent years creating an image in their local marketplace and
creating "an experience" for the temporaries they hire and the clients they serve.
"It's the experience that people remember and it's up to you to create that
experience." Caldarera commented. Caldarera prides himself on making sure his
temporaries know that Westaff is different, from the minute they walk in and
apply, to making them totally confident in the assignments they are going on, to
the time they come in for their check. "I believe that our temporaries deserve a
fair and competitive wage. And if I have a client that doesn't agree with that, then I
just walk away. I think the mistake that a lot of people make is that they don't put
the pencil to the business. You have to find new business that is going to deliver
the results. It has to be smart business. When an order comes in, what is the
value of the order? Which ones can I fill? And which orders will generate the most
return, and which business will be good for our temporaries. When you
approach it this way, your no-show rates goes way down and your success rate
goes way up. It's that simple," says Caldarera.
